Frogster Signs Domination and Profit Transfer Agreement with Gameforge AG

Berlin, 20/05/2011:On 13/05/2011, Gameforge AG and Frogster Interactive Pictures AG signed a domination and profit transfer agreement with Gameforge AG as the dominating entity and Frogster Interactive Pictures AG as the subordinate entity. According to a statement from Gameforge AG, the company currently holds just under 92 percent of the shares of Frogster Interactive Pictures AG. The shareholders of Gameforge AG approved the domination and profit transfer agreement at the shareholder meeting on 16/05/2011. For the contract to be valid, it has to be approved at Frogster’s annual shareholder meeting and then registered with the commercial register competent for Frogster. In addition to other topics, the annual shareholder meeting will elect a new supervisory board. Suggested are the present chairman, Gerhard A. Koning, as well as Alexander Rösner and Christoph Jennen, CEO and CFO of Gameforge AG. Another topic on the agenda is the approval of the exit of Frogster Interactive Pictures AG from the Entry Standard, a subsegment of the open market at the Frankfurt Stock Exchange.

In relation to the domination and profit transfer agreement and the intended exit from the Entry Standard of the Frankfurt Stock Exchange, Gameforge AG will offer Frogster’s minority shareholders separate cash severance payments each at 26.00 euros per share. Shareholders who are willing to accept the offer can choose between the two, which are subject to the approval of the annual shareholder meeting.

The audit firm KPMG appraised Frogster at a value of 25.12 euros per share as a result of a formal assessment. A court-appointed contract auditor checked the plausibility of the domination and profit transfer agreement and the aforementioned appraisal, supporting the audit firm’s conclusion.
